These Terms and Conditions ("Terms") govern your use of the HKC Shipping website and the marine services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Definitions
In these Terms: "HKC Shipping," "we," or "us" refers to HKC Shipping Marine Services, registered in Suez, Egypt. "Client," "you," or "your" refers to the person or entity engaging our services. "Services" means ship agency, offshore support, chandling, marine logistics, maintenance, safety compliance, and related maritime services. "Vessel" means any ship, boat, or offshore unit for which services are provided.
2. Services Agreement
Specific services are provided under separate service agreements, port agency appointments, or charter parties that supplement these Terms. In the event of conflict between these Terms and a signed service agreement, the signed agreement prevails. Quotes provided through our website or quote wizard are estimates only and do not constitute binding offers until confirmed in writing.
3. Client Obligations
Clients agree to:
- Provide accurate vessel, cargo, and operational information necessary for service delivery
- Ensure vessels comply with applicable safety, environmental, and port regulations
- Grant timely access to vessels, crew, and documentation as required
- Pay invoices within agreed credit terms (default: 30 days from invoice date)
- Fund disbursement accounts in advance where required by port authorities or our credit policy
- Maintain valid P&I insurance and classification for all vessels under our care
4. Fees and Payment
Service fees are as quoted or as per our standard tariff schedule. Disbursements on behalf of the client (port dues, pilotage, customs fees, etc.) are charged at cost plus an agreed agency fee. All amounts are quoted exclusive of applicable taxes unless stated otherwise. Late payments incur interest at 1.5% per month. We reserve the right to suspend services for accounts exceeding credit limits or with overdue balances exceeding 60 days.
5. Liability and Insurance
HKC Shipping maintains professional indemnity and marine liability insurance appropriate to our operations. Our liability for any claim arising from our services is limited to the fees paid for the specific service giving rise to the claim, except where prohibited by law. We are not liable for delays caused by port authorities, weather, force majeure, or client-provided incorrect information. Clients are responsible for ensuring adequate insurance coverage for their vessels, cargo, and operations.
6. Force Majeure
Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to: acts of God, war, civil unrest, port closures, government actions, pandemics, strikes, equipment failure, or adverse weather conditions preventing safe vessel operations.
7. Safety and Compliance
All operations are conducted in accordance with applicable maritime safety regulations, including ISM, ISPS, and MARPOL requirements. Clients must notify us immediately of any hazardous cargo, safety incidents, or regulatory deficiencies affecting vessel operations. We reserve the right to refuse or suspend services where safety or compliance risks are identified.
8. Intellectual Property
All content on this website — including text, graphics, logos, and images — is the property of HKC Shipping or its licensors and is protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our written permission.
9. Website Use
You agree not to:
- Use the website for any unlawful purpose
- Attempt to gain unauthorized access to our systems or data
- Transmit malware, spam, or harmful code through our contact forms
- Scrape or systematically collect website content without permission
- Misrepresent your identity or affiliation when submitting inquiries
10. Confidentiality
Both parties agree to keep confidential any proprietary or commercially sensitive information disclosed during the course of service delivery, except where disclosure is required by law, port authorities, or regulatory bodies.
11. Termination
Either party may terminate a service engagement with 30 days written notice, subject to completion of in-progress operations and settlement of outstanding invoices. We may terminate immediately for material breach, non-payment, or safety concerns.
12. Governing Law
These Terms are governed by the laws of the Arab Republic of Egypt. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Suez, Egypt, unless the parties agree to arbitration under Egyptian arbitration law.
13. Amendments
We may update these Terms at any time. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms. Material changes to service terms will be communicated to active clients via email.
